What is a Corporate Book?

Generally, when a corporation is organized, a corporate book or corporate file box is prepared by the attorney.  The book or corporate box is usually divided into various sections including: (1)  A section for Official Documents which might contain the Certificate of Incorporation, the Articles of Incorporation, any Election of Assumed Name, any filings with other states, Secretary of State filings, trade names, as well as, any other official document.  (2) The second section generally contains the Minutes of the proceedings of the  meeting of the corporation.  Included within the Minutes are the general organizational meeting minutes, the minutes for the Board of Directors' meetings and the minutes for the shareholders' meetings, which generally occur at least once annually.  (3) The third section involves the corporate treasury and often contains a general ledger, shareholders' ledger, a record of the names of the shareholders, the payments made by them to the corporation for the stock received, the number of shares held and the stock certificate number.  The reports of the Treasurer of the corporation will also appear in this section.  (4) A contract section is also generally included and reflects the various contracts into which the corporation has entered for one purpose or another.  (5) Finally, there is usually a correspondence section which reflects the correspondence of the officers of the corporation and the administration of corporate business.
